We have been able to help a wide scope of Scottish
companies with their registration. Our services are available
24 hours a day, 7 days a week & you will receive a PDF certificate
within 3-5 hours of registration. There are a huge selection of Scottish
companies already out there so you will have to check whether your
trading name is available. This can be done on the main pages of our site.
We can get your business registered with the Companies House in Scotland,
or more specifically with the Companies House In Edinburgh.
Scotland, although currently part of the United Kingdom, has always had
a seperate legal system to that of England and Wales. Notwithstanding
this, the actual governing legislation is identical to that of England
and Wales and can be found in the Companies Acts' of 1985 (the principal
Act) and 1989. However, it should be noted that Scottish case law often
varies from that of England whilst the core principles have been greatly
influenced by Continental Civil Law. The principal features of Scottish
companies are:
Directors can be either individuals or corporate entities.
There need be only one director.
There are no residency or nationality restrictions for directors.
A company secretary can be either an individual or company and may or
may not be resident in Scotland.
All companies must have at least one subscriber/shareholder at the time
of incorporation
All companies must have a registered office address within the Scottish
jurisdiction.
A company submitting its annual return must be very specific about its
objects and chose from the Standard Industrial Classification (SIC) Code.
Ready-made/shelf companies are not widely available.
Companies House Edinburgh can provide a same day expedited company formation
service .
Since 1989 Scottish companies have not legally required a seal to give
effect to their contracts and legal documents etc.
Scotland does not impose any duty on initially issued or allotted share
capital although subsequent transfers should be verified by a stock transfer
form (CF40) and stamped by the Stamping Office.
Shares should ideally be denominated in Pounds Sterling but technically
can be denominated in any legal tender currency.
